RISECTRL

Terms of Service

Last updated: October 27, 2026

These terms apply to this website and to the services provided by RISECTRL ("we", "us"). By completing a purchase, subscribing to a plan or using our services, you ("the client") agree to them. If you accept on behalf of a company, you confirm you are authorized to bind it. Our services are offered to businesses, not to consumers for personal use.

1. Services

RISECTRL is a growth partner for brands. Depending on your plan, our services may include paid advertising management, creative strategy and production (including work made with AI tools), analytics and reporting, email and SMS retention, and websites or landing pages. What each plan includes is described on our website or in the written offer you accept. If a written offer and these terms conflict, the written offer controls for that engagement.

2. Plans, automatic renewal and billing

3. Ad spend and third-party costs

Your advertising budget is paid by you directly to each platform (such as Meta, Google or TikTok) from ad accounts that you own. It is not part of our fees and we are not responsible for it. The same applies to third-party tools you use, such as your store platform or your email and SMS provider.

4. Account access

You own your ad, analytics, store and marketing accounts. You grant us the access needed to provide the services, and you can remove that access at any time. Removing it may stop the services from working. We will not change account ownership, billing settings or spend limits without your approval.

5. Your responsibilities

6. Advertising platforms

Advertising platforms make their own decisions about ad approval, delivery, pricing, policies and account restrictions. Those decisions are outside our control, and we are not responsible for them.

7. Intellectual property

You keep ownership of your brand, content and data. Once paid for, you may use the creative work we deliver for your brand, in any channel, during and after our work together. We keep ownership of our methods, templates, prompts and tools. Some creative work is made with third-party AI tools and stock providers, whose own terms may apply to it. We will only show your brand's name, results or work in our portfolio with your permission.

8. Confidentiality

Each party will keep the other's non-public information (such as sales figures, margins, customer lists, strategies and pricing) confidential and use it only for our work together. This does not apply to information that is public, already known, or that must be disclosed by law.

9. No guarantee of results

Results depend on many factors outside our control, including your product, pricing, budget, market and the platforms themselves. The services are provided "as is" and "as available", and we do not guarantee any specific sales, revenue, return on ad spend or other business result. To the extent allowed by law, we disclaim all implied warranties.

10. Limitation of liability

To the extent allowed by law, our total liability for any claim is limited to the fees you paid us in the three months before the claim, and neither party is liable for indirect, incidental or consequential damages, including lost profits or ad spend.

11. Indemnification

You agree to defend and hold us harmless from claims arising from your products, your offers and claims, the materials you provide, or your marketing to your customers without the required consent.

12. Independent relationship

We work as an independent contractor. Nothing in these terms creates a partnership, employment or agency relationship.

13. Changes, termination and events outside our control

We may update these terms; the date above shows the latest version, and material changes apply from your next billing period. Either party may end the service as described above. We may suspend the service for non-payment, misuse or if continuing would break the law or a platform's rules. Neither party is responsible for delays caused by events outside its reasonable control, such as platform outages.

14. Governing law and disputes

These terms are governed by the laws of the State of New York, United States. If a dispute comes up, we will first try to solve it in good faith by contacting each other. If we cannot, it will be resolved in the state or federal courts located in Westchester County, New York.

15. General

These terms, together with any written offer you accept, are the entire agreement between us about the services. If any part is found unenforceable, the rest stays in effect. You may not transfer these terms without our consent.
